1. Acceptance of Terms

By accessing pravarq.com or engaging Pravarq's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services. These terms constitute the entire agreement between you and Pravarq.

2. Services Description

Pravarq provides digital marketing services including but not limited to: search engine optimisation, paid advertising management, social media marketing, content creation, email marketing, and AI-powered analytics. The specific services provided to each client are governed by the individual Statement of Work (SOW) or Service Agreement signed at the commencement of engagement.

3. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information required for service delivery
• Grant Pravarq the necessary access to accounts, platforms, and tools required to perform services
• Review and approve content and strategies within agreed timelines
• Pay all fees on time as outlined in the service agreement
• Maintain ownership of and responsibility for all digital assets and accounts
• Not engage competing agencies for the same service scope without prior notice

4. Payment Terms

All fees are invoiced monthly in advance. Payment is due within 15 days of invoice date. Late payments incur a 2% monthly interest charge. Pravarq reserves the right to suspend services for accounts overdue by more than 30 days. All prices are exclusive of applicable GST/taxes, which will be added at the prevailing rate.

5. Intellectual Property

Unless otherwise agreed in writing:

Your IP: You retain all rights to your brand assets, content, and data.

Pravarq IP: All strategies, methodologies, tools, templates, proprietary processes, and AI systems created by Pravarq remain the sole property of Pravarq.

Deliverables: Upon full payment, you receive a licence to use all deliverables created specifically for your brand. Source files are provided upon request for an additional fee.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding each other's proprietary information, business strategies, client data, and trade secrets. This obligation survives termination of the agreement for a period of 3 years. Pravarq will never share your campaign data, strategies, or results with competitors or third parties without your explicit written consent.

7. Termination

Either party may terminate services with 30 days written notice. Pravarq may terminate immediately in cases of non-payment, breach of terms, or conduct that is abusive to staff. Upon termination, Pravarq will provide a complete handover of all assets, accounts, and data within 7 business days. No refunds are issued for fees already paid.

8. Limitation of Liability

Pravarq's total liability for any claim arising from services shall not exceed the fees paid in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages. We do not guarantee specific results (rankings, traffic, revenue) as digital marketing outcomes depend on multiple factors beyond our control — including algorithm changes, market conditions, and competitor actions.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana, India. Before pursuing legal action, both parties agree to attempt resolution through good-faith negotiation and, failing that, mediation.

10. Changes to Terms

Pravarq reserves the right to update these Terms at any time. Clients will be notified of material changes via email with 30 days advance notice. Continued use of our services after the effective date constitutes acceptance of the updated terms.
